Distribution Strategy of American Reprographics Company - April 9th, 2011

American Reprographics Company is the largest reprographics company in the United States, providing business-to-business document management services to the architectural, engineering and construction (AEC) industry. It also provides these services to companies in other industries that require sophisticated document management services. The company provides its core services through a proprietary suite of reprographics technology products, a nationwide network of locally-branded reprographics service centers, and facilities management programs at customers' locations throughout the country.
Founded in 1988 as a single reprographics firm in Southern California by S. "Mohan" Chandramohan (now Chairman of the Board), the company has grown into a national corporation with 2006 revenues of $591 million.
Corporate headquarters are co-located in Walnut Creek, California.
The company, with more than 40 operating divisions, employs more than 4,500 employees, and serves more than 140,000 customers nationwide. ARC continues to grow through acquisition.
On February 3, 2005, ARC announced pricing of its initial public offering of 13,350,000 shares of common stock at $13.00 per share for gross proceeds of $173,550,000. $92,690,004 of the proceeds went to ARC, $68,711,496 went to selling shareholders.
ARC created the products PlanWell, Pinadmin, BidCaster, Metaprint, Sub-Hub and Abacus — applications aimed at solving problems of the reprographic and construction industries with sharing, transferring and managing printed and digital data.

Distribution Strategy
American Reprographics Company (NYSE: ARP), the nation's leading provider of reprographics services and technology, today announced the signing of a joint venture agreement with Unisplendour Corporation Limited, the Shenzhen-listed high-technology manufacturer and retailing giant closely associated with Tsinghua University in Beijing. ARC holds a 65% controlling ownership stake in the new venture and is the company's first strategic partnership inside one of the fastest growing economies in the world.

The newly formed company, UNIS Document Solutions Limited (UDS), will pair the digital document management solutions of American Reprographics Company with the brand recognition and Chinese distribution channel of Unisplendour to deliver digital reprographics services to the country's booming construction industry.

"We're very pleased to partner with such a prestigious company like Unisplendour in the expansion of our business into China," said K. "Suri" Suriyakumar, CEO and President of American Reprographics Company. "It is a tremendous testament to our technology that a company of Unisplendour's caliber and resources sought us out for this initiative. We look forward to providing a leadership role in addressing the Chinese construction industry's growing need for digital document solutions and expect this venture to bring significant long-term value to ARC."

Zhiqiang Li, President of Unisplendour said, "It was clear from the beginning that American Reprographics Company possessed the document management technology and expertise necessary to support the tremendous growth in China's construction industry. We expect to address this huge market opportunity from a position of strength as we leverage the expertise of both companies."

ARC and Unisplendour believe that their technology solutions and distribution capabilities will position UDS to become the premier provider of digital document management solutions in the burgeoning, but analog-based, construction industry in China.

Initial business activity will include the Chinese development and sale of ARC's Web-based PlanWell document management solutions, as well as the placement of on-site reprographics services -- otherwise known as FMs -- with AEC professionals in Beijing, Shanghai, and other growing metropolitan areas of China. The joint venture agreement will also allow ARC a more efficient and cost-effective means of providing document management and reprographic services to its nationwide base of design and construction-based customers who continue to expand their business into Chinese markets.

American Reprographics Company (NYSE: ARP), the nation's leading provider of reprographics services and technology, today announced a marketing agreement with HP to offer HP's Instant Printing technology and wide-format printing devices with PlanWell, ARC's online document management solution for the AEC (architectural, engineering and construction) market.

The companies will jointly promote the ability to download and print plans from PlanWell Enterprise directly to HP wide-format printing devices in customers' offices, or at any one of nearly 300 locations of American Reprographics Company.

ARC specializes in document management, document distribution and logistics and print-on-demand services throughout the construction industry. Project document collections are made available for viewing and ordering via PlanWell Enterprise and other proprietary web-based applications. The company also provides on-site reprographics services to AEC customers of all sizes throughout the country, frequently providing a printing device, services and supplies on a pay-for-use basis.
